Investor FAQ
1. What is Spotter?
Spotter is the operating company-in-a-box for independent trucking operators. We own the execution layer: AI dispatch, real-time settlement, embedded finance, compliance, and equipment management. We turn fragmented owner-operators into scalable, profitable logistics businesses.
2. Is Spotter a software company or trucking company?
Spotter is a software company. We don't own trucks or operate fleets. We provide the operating infrastructure that enables independent operators to function like large carriers-with integrated dispatch, finance, and compliance. Revenue comes from SaaS subscriptions, transaction fees, and fintech spreads.
3. What does Spotter's AI do?
Our AI dispatch engine analyzes operator location, equipment, compliance status, driver HOS, and profitability to automatically assign loads. Unlike traditional TMS that just show available loads, Spotter directly dispatches in real-time, reducing deadhead miles from 14–22% to 8.2% and improving revenue per truck by 15–35% within 6–12 months.
4. Why is Spotter different from a TMS (Transportation Management System)?
TMS platforms show load opportunities. Spotter owns the execution layer. We directly control dispatch, settlement, financing, compliance monitoring, and fuel optimization. This execution control creates a moat: better data, better underwriting, and better economics. Small operators can't integrate a TMS + fuel card + factoring + insurance to match Spotter's full-stack efficiency.
5. Who is the customer?
Independent trucking operators with 1–20 trucks. This represents 3.5M+ operators controlling meaningful U.S. freight capacity. They lack enterprise infrastructure but are highly motivated to improve profitability. Today we serve 2,340 active operators running 6,850 trucks across 48 states.
6. How does Spotter make money?
Three streams: (1) Platform SaaS: $350–500/operator/month for dispatch, settlement, compliance. (2) Transaction fees: 0.8–1.2% on settlement volume (~$180M/year), financing spreads on equipment and working capital. (3) Insurance/ancillary: underwriting rebates and bundled insurance enrollment.
7. What makes Spotter defensible?
(a) Workflow integration: operators can't easily switch after their dispatch, finance, and operations run through Spotter. (b) Data moat: 6,850+ trucks generate real-time dispatch, revenue, and compliance data that improve pricing intelligence and AI models. (c) Regulatory complexity: ELD/HOS/FMCSA integrations require continuous updates. (d) Fintech advantage: embedded finance creates operator lock-in and new revenue streams.
8. What proprietary data does Spotter collect?
Dispatch patterns (load assignment, acceptance rates), financial (revenue per truck, margin by lane), compliance (HOS violations, safety incidents, insurance status), operational (equipment utilization, driver performance), and market (freight demand by lane, rate trends, fuel prices). This data powers better AI, underwriting, and pricing intelligence.
9. How does embedded finance work?
Spotter sees every load dispatch and settlement in real-time. This visibility enables superior operator underwriting: we offer working capital advances at 0.5–1.2% (vs. 1–3% factoring), equipment financing at 6.2–7.8% (vs. 9–13% bank rates), and insurance at 12–18% discount. Repayment is swept directly from settlements, reducing default risk to 0.8–2.1%.
10. Why does the market need a full-stack platform?
Independent operators juggle TMS, fuel cards, factoring, insurance, and back-office tools separately-with no integration. Spotter consolidates this into one workflow. Result: 75% less back-office time, 14%+ revenue per truck improvement, and single-digit default risk on financing. Point solutions don't compound; integration does.
11. How does Spotter reduce back-office burden?
Automated settlement (14,200+ per day), compliance monitoring (85% automation), fuel optimization, insurance renewal, and permit tracking. Operators go from 6–12 hours/week on admin to <1.5 hours/week. This frees time for actual business growth.
12. How does Spotter improve revenue per truck?
AI dispatch assigns higher-value loads, reducing deadhead. Better rate negotiation via market intelligence. Fuel optimization. Equipment expansion via financing. Case studies show +14% to +35% revenue per truck within 12 months.
13. How does Spotter reduce deadhead?
AI dispatch predicts optimal load routing, considers driver HOS, and prioritizes high-margin freight. Combined with market data and historical patterns, deadhead dropped from 19% (pre-Spotter independent operators) to 8.2% on Spotter platform.
14. What is Series B capital being used for?
(1) Operator growth: direct sales, partnerships, referrals. (2) Product: expanded AI, fuel optimization, insurance integration. (3) Finance: grow embedded finance AUM. (4) Infrastructure: compliance, security, international expansion.
15. How is Spotter preparing for IPO?
Already EBITDA positive at $72.5M revenue. Building finance-grade governance, compliance audit trails, and SOC 2 certification. Clean cap table, strong founder alignment, and no encumbrances. Path: $100M+ revenue in FY27, 50%+ EBITDA margins at $500M+, IPO readiness in 2027–2028 timeframe.
